Coaching Agreement
This Coaching Agreement between Mark Schall and $FIRSTNAME$ $LASTNAME$ will begin on the date indicated above and will continue for twelve (12) sessions over a twelve (12) month period. The full investment for the program is listed above and is paid in full prior to the start of coaching.
Coaching and Mentoring
The services provided will include both coaching and mentoring. Coaching is not advice, therapy, or counseling. It is a designed alliance that supports the client in bringing out their best and creating meaningful, self-directed change in their life and work.
Mentoring, in contrast, may include the sharing of perspective, experience, and guidance based on the coach’s professional background and expertise. Throughout the engagement, coaching and mentoring may be used fluidly, depending on what will best serve the client in the moment.
Confidentiality and Professional Standards
All information shared in the coaching relationship will be held as confidential, within the limits of the law. As part of maintaining professional credentials with the International Coaching Federation (ICF), the coach may be required to submit a confidential log of coaching hours. This log may include client name and contact information solely for credential verification purposes. This information is shared only with the ICF Credentialing Department and only if a log is selected for verification, which is rare. Any outreach would be limited to a single verification contact.
Technology, Artificial Intelligence (AI), and Session Recording
Use of Technology and AI
The Coach may utilize technology tools, including artificial intelligence (AI) applications, to support administrative, organizational, and coaching-related functions such as scheduling, note management, summarization, action-item tracking, content organization, and other coaching support activities. The Coach will exercise reasonable care in the selection and use of such tools and will take appropriate steps to protect the confidentiality of Client information.
Recording and Transcription of Sessions
Coaching sessions will not be recorded, transcribed, or processed by AI meeting assistants without the Client's knowledge and consent. If recording, transcription, or AI-assisted note-taking tools are used, the Coach will be transparent about the technology being used and its intended purpose. The Client may decline or withdraw consent for the use of these tools at any time, although doing so may affect the availability of certain features such as recordings, transcripts, automated summaries, or AI-generated action items.
Confidentiality and Technology Limitations
The Coach will take reasonable steps to protect the confidentiality of Client information. However, the Client understands and acknowledges that no electronic system, platform, or technology can guarantee absolute security or confidentiality.
Employer-Controlled Systems
The Client acknowledges that information stored, transmitted, or accessed through employer-provided devices, accounts, networks, or software may be subject to the employer's policies and practices regarding access, monitoring, retention, or disclosure. These systems are outside the Coach's control, and the Client is responsible for determining the appropriateness of their use.
Third-Party Technology Providers
Information shared through technology services used in connection with the coaching engagement, including videoconferencing, scheduling, note-taking, transcription, cloud storage, email, AI tools, and similar services, may be subject to the policies, terms, security practices, and data handling procedures of those providers. While the Coach exercises reasonable care in selecting such services, these systems are outside the Coach's control.
Client Choice and Consent
The Coach will be transparent regarding the use of AI tools and other technologies that may process Client information as part of the coaching engagement. The Client is encouraged to discuss any questions or concerns regarding the use of such tools. If the Client prefers that certain technologies not be used in connection with the coaching engagement, the Coach and Client will discuss available alternatives and any resulting limitations or adjustments to the coaching process.
By entering into this agreement, the Client acknowledges and consents to the use of technology and AI tools as described above, unless otherwise agreed in writing.
Coaching Relationship
The coaching relationship is built on open, direct communication. The coach will engage in honest and straightforward dialogue, including asking questions and making observations intended to support the client’s progress. The client understands that the value of coaching is directly related to their level of engagement and willingness to participate fully. If the client feels that the work is not meeting their expectations, they agree to communicate this so that adjustments can be made.
Session Logistics
Coaching sessions will be scheduled in advance at mutually agreed-upon times. If the client needs to reschedule a session, at least 24 hours’ notice is required. Sessions canceled with less notice will be considered used, except in the case of an emergency.
This coaching engagement is designed to be completed within a twelve (12) month timeframe. Any unused sessions are expected to be completed within that period. If needed, a brief extension may be granted at the coach’s discretion.
The client is responsible for scheduling and attending sessions. The coach will make reasonable efforts to accommodate scheduling needs and remain responsive between sessions as appropriate, while maintaining clear boundaries to support the overall coaching process.
Client Responsibility and Well-Being
The client affirms that they do not have any physical or mental condition that would prevent full participation in the coaching process, or that they have consulted with an appropriate healthcare professional and have been advised that participation is appropriate. The client agrees to notify the coach of any changes in this regard.
Coaching does not include diagnosis, treatment, or medical advice. Mark Schall is a professional coach and not a licensed medical provider. If mental or physical health support is needed, the client agrees to seek care from a qualified healthcare professional.
Fees and Liability
In the event of any claim or grievance, the client’s sole remedy will be limited to the return of fees paid. Mark Schall shall not be liable for any direct, indirect, incidental, or consequential damages beyond the total fees paid by the client.
Agreement
This document constitutes the full agreement between the parties and supersedes any prior representations or agreements, whether oral or written. Any modifications to this agreement must be made in writing and agreed to by both parties.
